This End User License Agreement (“Agreement”) governs use of the software application operated by Krista Topper that connects to QuickBooks Online (“Application”). By installing, accessing, or using the Application, you agree to this Agreement.
We grant you a limited, non-exclusive, non-transferable, revocable license to use the Application solely to receive the financial-operations services agreed between you and us, subject to this Agreement.
You will not: (a) copy, modify, distribute, sell, or lease the Application; (b) reverse engineer or attempt to extract source code except as permitted by law; (c) use the Application to access QuickBooks data you are not authorized to access; or (d) use the Application to violate Intuit’s terms or applicable law.
The Application connects to your QuickBooks Online company file via Intuit’s APIs and only with the access you authorize. Your use of QuickBooks Online remains governed by your agreement with Intuit. You may revoke the Application’s access at any time via the QuickBooks admin panel. Handling of data is described in our Privacy Policy.
The Application and all intellectual property in it remain the property of Krista Topper and her licensors. This Agreement grants no ownership rights.
The Application is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Application will be error-free or uninterrupted. The Application supports professional services; it is not a substitute for professional judgment or for your review of financial results.
To the maximum extent permitted by law, we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from or related to the Application. Our total liability under this Agreement will not exceed the fees paid for the services during the 12 months preceding the claim.
This Agreement and the license end automatically if you breach it, or on termination of the underlying services engagement. On termination you will stop using the Application and the connection will be revoked.
This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles.
